Binghao Li is a partner at Merits & Tree Law Offices. Prior to joining M&T, he was a partner at Allbright Law Offices and Hengdu (Qingdao) Law Firm.

 

Ms. Li has 14 years of legal experience, and has represented numerous civil and commerial disputes in the areas of contract, corporate equity, and M&A. She has extensive experience in both litigation and non-litigation practice, and has engaged in the standardization of perennial legal counsel services and the productization of equity services, which has been formed as recognized legal products. She mainly focuses on equity-related legal services, including equity structure design, equity incentives, equity investment and financing, equity funds, company listings, and corporate compliance.

  • Provide specialized legal services for equity financing negotiations, transaction structure design, and implementation for a pharmaceutical technology company in Anhui;
  • Negotiate on behalf of a design company in a dispute over equity control, particularly regarding the handling of bet-the-company issues. Through negotiations, effectively resolved the company's deadlock, ensuring the normal operation of annual revenue of over two billion;
  • Design and implement the transaction structure and tax planning for the investment project company of a listed Chongqing pharmaceutical company;
  • Provide full legal consultation, due diligence coordination, transaction structure design, negotiation, and document implementation for the energy storage battery project in the Jiaozhou SCO investment project.
  • Provide full consulting, negotiation, and document implementation services for the adjustment of state-owned enterprise equity in the construction of new energy in Qingdao by a central enterprise, including the exit of four original legal person shareholders, the entry of new investors, debt-to-equity swaps, and the implementation of state-owned enterprise equity incentives.
  • Provide guidance and services on corporate governance and equity structure design for a number of start-ups, companies in Series A-C funding rounds, and Pre-IPO enterprises.
Commercial Litigation
  • Represented the Dongli Community Residents Committee of Fushui Road Street Office in Licang District, Qingdao, in a contract dispute case with Qingdao Xudong Real Estate Development Co., Ltd. and the People's Government of Licang District, Qingdao, with a claim amount of 360 million yuan;
  • Wang Jianping and the defendants Qingdao Yisitel Trade Co., Ltd., Shanghai Zhong'an Industrial Co., Ltd., Hou Wei, Li Hongjie, Zhang Zhenguo, Guotai Xing'an (Beijing) Equity Investment Fund Management Co., Ltd., and Qingdao Rongsinda Real Estate Co., Ltd. in a share transfer dispute case. As the litigation agent entrusted by Yisitel Company, Zhong'an Industrial Company, Hou Wei, Li Hongjie, and Zhang Zhenguo, after the first and second trials, the court no longer supported the transferor's claim for a share transfer payment of 19 million. After handling this case, the client continued to entrust the lawyer to handle other negotiation matters of the target company.
  • Qingdao Bangda Real Estate Development Co., Ltd. sued the defendants Wang Shaobai, Qingdao Bangda Property Co., Ltd., and Qingdao Bangda Decoration Engineering Co., Ltd. for a shareholder interest liability dispute case. Representing Qingdao Bangda Real Estate Development Co., Ltd., the case involved a claim amount of 400-500 million. After the first and second trials, the Shandong Provincial Supreme Court determined that the case involved related-party transactions by directors and supervisors that harmed the company, thus supporting the invalidity of the share transfer agreement and recovering losses for the company. After handling this case, the company now entrusts the law firm to be its perennial legal advisor.
  • Qingdao Shih Chao Import and Export Co., Ltd. sued Rizhao Hengshan International Trade Co., Ltd. and Ma Bin for a sales contract dispute case, with the case involving a claim amount of about 8.85 million yuan. However, the case involved international trade, including foreign delivery, foreign trading entities, shipping companies, international trade rules, court jurisdiction, and other issues. Although it was the first time handling an international trade case, after studying FOB, customs transaction processes, etc., the court ultimately only supported the other party for more than 1.8 million. This case was rated as one of the "Top Ten Typical Cases of Qingdao in 2021."
  • Hengshui Bank Co., Ltd. sued Weifang Bank Co., Ltd., with the third party Guomin Trust Co., Ltd., and the third party Hengfeng Co., Ltd., and other contract disputes. Representing the third party Guomin Trust Co., Ltd. in the lawsuit, the lawyer, familiar with financial trusts and asset management business, published relevant opinions on the grounds of financial contracts and contract relativity during the litigation process. Ultimately, the Shandong Provincial High People's Court ruled that the third party was not responsible in the case.
  • Zhu Dongyi and Qingdao Ran Zhitian Network Co., Ltd. had a contract dispute. Representing Qingdao Ran Zhitian Network Co., Ltd., this case was the first of its kind in China's micro-business sector, with no contract signed between the parties but nearly a year of cooperation. By completing the evidence of all WeChat chat records, transfers, distributions, and other trading practices, the lawyer fought for about 2 million in profit distribution for the client.
