Aaron (Yao) Wang is a partner at Merits & Tree Law Offices. Prior to that, he has gathered over two decades of legal experience with notable stints at two leading law firms.


His extensive background encompasses both litigation and non-litigation practices, with a particular focus on international litigation and arbitration, domestic and overseas financing and listing, and M&A, restructuring. Aaron specializes in international investment financing, mergers and acquisitions, and restructuring, representing clients in high-tech investment and acquisitions across developed countries or regions. He has handled several unique, non-standard, complex and sensitive transactions that cut across different practice areas and jurisdictions, and has participated in strategic negotiations for controlling industrial mergers and acquisitions (and anti-mergers).

Achievements
  • Represented an investment entity in multiple rounds of financing from Series B to Series E for a U.S. biotech company in Maryland specializing in the research and development of small nucleic acid drugs, as well as global acquisitions and restructuring before its listing ;
  • Represented an investment entity in multiple rounds of financing from Series A to Series B+ for a U.S. biotech company in Illinois specializing in the research and development of antibody-drug conjugates, as well as global acquisitions and restructuring ;
  • Represented a Chinese state-owned enterprise in dealing with a dispute over the control of a joint venture with a multinational industrial giant, triggered by the acquisition and restructuring of the global supply chain ;
  • Represented an investment entity in the acquisition and global demerger and restructuring of a leading Internet of Things company in California, including business demarcation, intellectual property division and cross-licensing, and capital structure restructuring ;
  • Represented a U.S. Nasdaq-listed company in achieving significant asset restructuring through the acquisition of domestic enterprises in China ;
  • Represented Chinese shareholders in the demerger and restructuring of a joint venture under a Fortune 500 mechanical manufacturing multinational company, selling Chinese stakes and associated enterprise assets;
  • Represented a state-owned enterprise in the acquisition of a real estate company in Yunnan;
  • Represented an investment entity in the merger and restructuring of two U.S. biotech companies in Illinois specializing in the research and development of metal nano-biomaterials through a stock-swap acquisition;
  • Represented an investment entity in parallel mirror investments in a company researching and developing orphan drugs for rare diseases targeting the norovirus, with operations in Kansas, USA, and Beijing, China;
  • Represented a company in Sichuan, China, and its overseas affiliates specializing in the research and development of deuterated drugs, in financing;
  • Represented a company in the British Virgin Islands in the indirect sale of real estate business in mainland China by selling shares of two companies in Hong Kong, China;
  • Represented a state-owned enterprise in the acquisition of a real estate company in Sichuan;
  • Represented a family trust from Jersey in convertible bond investment in an Australian real estate development company;
  • Represented an investment entity in investment and restructuring of a Chinese new energy smart automotive company;
