Qi Zhang is a partner at Merits & Tree Law Offices, with main practice areas in dispute resolution, regulatory and compliance. Mr. Zhang has extensive experience in providing legal services for large state-owned enterprises under the central government. With over a decade of experience, he has handled a substantial number of disputes related to corporate governance, control contests, and other company-related issues involving state-owned and private enterprises, as well as contract disputes, tort disputes, and corporate compliance matters. He is also skilled at internal legal affairs, especially within large state-owned enterprises. His client service covers a varity of industries such as investment funds, industrial and technology manufacturing, construction engineering, banking and finance, energy and chemicals, healthcare, information engineering, and film and entertainment. In addition, Mr. Zhang has unique expertise in the field of enforcement (preservation) legal services.

 

Before joining M&T, Mr .Zhang was a partner at Zhong Lun Law Firm and also served as  a legal manager in a central state-owned enterprise.

  • Represented a mainland company and a Hong Kong investment company in a contract dispute case with a municipal urban management bureau, with a claim amount of approximately 430 million yuan, at the Supreme People's Court and Hebei Provincial Higher People's Court.
  • Represented Guangzhou Beichen Honesty Co., Ltd., Fuxiang Oil and Gas Technical Services Co., Ltd., and a natural person, Mr. Pu, in a share repurchase and private lending investment dispute case with a claim amount of approximately 170 million yuan, at the Supreme People's Court and Liaoning Provincial Higher People's Court.
  • Represented a city commercial bank in an enforcement application case with a claim amount of approximately 470 million yuan against a real estate company in Shenyang, at the Supreme People's Court and Liaoning Provincial Higher People's Court.
  • Represented a well-known Chinese ODM manufacturer in the second-instance trial of a foreign-related sales contract dispute case with a claim amount exceeding 4.94 million US dollars against a Hong Kong technology company, at the Supreme People's Court.
  • Represented major shareholders of six listed companies in a capital increase dispute case with a claim amount of approximately 2.6 billion yuan against a listed company due to performance compensation, at the Beijing Municipal Higher People's Court.
  • Represented a technology company in a dispute case involving the return of corporate licenses with its former actual controller, at the Shanghai Municipal Higher People's Court, the First Intermediate People's Court of Shanghai, and the Minhang District People's Court of Shanghai.
  • Represented a large state-owned ocean construction company in a series of sales contract dispute cases and related port cargo storage contract dispute cases at the Tianjin Municipal Higher People's Court, the Third Intermediate People's Court of Tianjin, and the Tianjin Maritime Court.
  • Represented Jiangsu Nantong No. 2 Construction Group Co., Ltd. in a construction contract dispute case with a claim amount of approximately 170 million yuan against Langfang Zhen Hetai Real Estate Development Co., Ltd., at the Hebei Provincial Higher People's Court.
  • Represented the wholly-owned subsidiary of a well-known domestic listed pharmaceutical company in the second-instance trial and retrial of a contract dispute case involving a claim amount exceeding 230 million yuan over the exclusive sales agency rights in China for the first domestic仿制 "Tadalafil tablets," against a pharmaceutical company in Changchun, at the Jilin Provincial Higher People's Court.
  • Represented a well-known capital management group in a guarantee contract dispute case with a claim amount of approximately 650 million yuan against a couple, at the Fourth Intermediate People's Court of Beijing.

  • Represented a well-known capital management group in a dispute over a shortfall compensation contract related to listed company private placement investments, with a claim amount of approximately 650 million yuan, against a trading company at the Beijing Arbitration Commission.
  • Represented a well-known asset management company in a dispute over a shortfall compensation contract related to listed company private placement investments, with a claim amount exceeding 520 million yuan, against the actual controller of a listed company and a supply chain group corporation at the Beijing Arbitration Commission.
  • Represented Shenzhen Seg Plaza Co., Ltd. in a cooperation agreement dispute case against Zongheng International Electronic Expo City (Suzhou) Co., Ltd. at the Beijing Arbitration Commission.
  • Represented a leading Japanese MCN Corporation in a service contract dispute with short video live-streaming platform companies in Beijing, Hong Kong, and Japan, with a claim amount of about 30 million yuan, at the Beijing Arbitration Commission.
  • Represented a subsidiary of a central enterprise and a well-known construction group in a BT contract dispute case with a claim amount of approximately 1.8 billion yuan against a national new district management committee and local investment platforms, at the China International Economic and Trade Arbitration Commission.
  • Represented a fund management center in Guangxi in a share repurchase dispute case with a claim amount exceeding 35 million yuan against a partnership enterprise in Jinan, a partnership enterprise in Guizhou, and their actual controller, at the China International Economic and Trade Arbitration Commission.
  • Represented a Hong Kong company in a sale contract dispute case involving the import of chemical sulfur-producing equipment, with a claim amount of about 11 million yuan, against a company in Taiyuan and other entities, at the China International Economic and Trade Arbitration Commission.
  • Represented an Italian company in an international sale contract dispute case with a claim amount exceeding 5.8 million euros against a listed company in Hunan, at the China International Economic and Trade Arbitration Commission.
