Han Ye is a partner at Merits & Tree and the head of Antitrust and Competition Department. Prior to joining Merits & Tree, Mr. Ye worked at Zhonglun Law Firm for many years.

 

Mr. Ye’s main practice areas are Antitrust/Competition Law and Regulatory and Compliance. He has led and participated in more than 200 various legal services projects and provided legal services to numerous top-tier corporations from different jurisdictions. His clients come from diverse industries, such as semiconductor, Internet, FMCG, pharmaceutical industry, healthcare, New Energy, online and offline retail, automobile and spare parts, commercial real estate, shipping, manufacturing and so on. Mr. Ye has extensive practical experience, excellent industry research and analytical abilities, and he is good at giving comprehensive analysis from multiple perspectives combining laws, industries and economics.

 

Mr. Ye actively researches frontier issues to antitrust law. He has published hundreds of articles in Law Press, LexisNexis, Wolters Kluwer, China Business Law Journal, Caijing, PaRR and so on. He also actively participates in the government-led revision of relevant laws and regulations, and social activities.

  • Provided merger filing service for the reorganization of Tsinghua Group.
  • Provided merger filing service for the share acquisition of four leading semiconductor packaging and testing enterprises by Wise Road Capital.
  • Provided merger filing consulting and negotiating services for the acquisition of WT Microelectronics by WPG Holdings.
  • Provided merger filing service for the investment in an animation broadcast platform by Tencent and other investors.
  • Provided merger filing service for the share acquisition of Uxin by Joy Capital and Nio Capital.
  • Provided merger filing service for the acquisition of Europe’s second-largest electronics manufacturer Financière AFG SAS by Universal Scientific Industrial.
  • Provided merger filing service for the establishment of a joint venture between Merry Electronics and Universal Scientific Industrial.

Antitrust: Antitrust investigation, litigation and report
  • Assisted Qualcomm, the world's leading semiconductor supplier, on its NDRC’s antitrust investigation, and provided full legal services from the initial raid to the negotiating of administrative penalties. The team, Mr Ye worked for, was the only team of lawyers to represent Qualcomm throughout the whole investigation. The partners of Cravath LLP, the US counsel representing Qualcomm in the case, sent a letter of appreciation after the case was concluded to the five key participating lawyers, including Ye Han.
  • Represented a Chinese chip design company reporting against a US chip design company for abuse of dominant market position.
  • Filed a lawsuit against Alibaba’s "either-or" behavior for the alleged violation of antitrust laws on behalf of JD.com in the previous law firm. As one of the counsels representing the case, Mr Ye provided key advice on market definition options and litigation strategies.
  • Represented Ikang reporting Meinian’s illegal merger, and provided anti-hostile takeover service for Meinian’s participation in the privatization of IKang.
  • Assisted the PRC Ministry of Transport in responding to SAIC’s antitrust investigations against it in the implementation of its relevant policies and provided full legal services.
  • Assisted Nissan with its NDRC’s antitrust investigation and provided full legal services.
  • Assisted SAIC-GM on its NDRC’s antitrust investigation and provided legal services, including evidence sorting, strategy formulation, communication with the antitrust bureau, etc.
  • Assisted Wallenius Wilhelmsen, a leading global shipping and logistics company, on its NDRC’s antitrust investigation and provided full legal services, including evidence sorting, and communication with the antitrust bureau on the administrative penalties.
  • Provided anti-hostile takeover service for a domestic brewery enterprise regarding Anheuser-Busch InBev’s global transaction of its acquisition of SABMiller.
Antitrust: Merger filing with additional restrictive conditions
  • Provided merger filing services for the share acquisition of SPIL by ASE and assisted the parties to reach satisfactory additional restrictive conditions. Assisted the parties with the performance of additional restrictive conditions within the two-year restriction period and responded to the supervision trustee's inspection. Provided antitrust compliance consulting services and ultimately successfully assisted the parties to terminate the additional restrictive conditions, etc. The transaction was awarded the “Most Representative M&A of the Year” and the “Most Influential M&A” by Taiwan Jinxin Award for M&A. This is a sub-holding condition case that was automatically terminated (not substantively reviewed) by China.
  • Provided legal service for the termination of additional restrictive conditions in the case of the acquisition of MStar by Media Tek. The transaction won the “Best Creative M&A” and the “Most Influential M&A” by Taiwan Jinxin Award for M&A.

  • Provided antitrust compliance training to ASE, an important company in the semiconductor sector.
  • Provided antitrust compliance training to Autoliv.
  • Provided antitrust review services to Sony Blue-ray-related patent licensing agreements.
  • Provided antitrust self-examination and compliance training to Sony (China)’s various operating departments.
  • Provided legal services to Dongfeng Commercial Vehicle, including drafting antitrust compliance guidelines, compliance and self-examination.
  • Provided Chinese law localization service for antitrust compliance guidelines of Coca-Cola.
  • Provided Chinese law localization service for antitrust compliance guidelines of Sulzer.
